Terms of Service
1. Introduction
Welcome to Cepha.
These Terms of Service ("Terms") govern access to and use of the Cepha platform, website and related services operated by Cepha Biomedical Solutions Ltd ("Cepha", "we", "our" or "us").
By accessing or using the Cepha platform, you agree to comply with these Terms. If you do not agree with these Terms, you should not access or use the platform.
2. About Cepha
Cepha is a digital health supply coordination platform that facilitates access to medical products and procurement services through a network of verified suppliers.
Cepha coordinates procurement workflows, quotations, invoicing and order fulfillment processes between registered institutions and approved suppliers.
Cepha does not manufacture products and does not guarantee the availability of products listed on the platform.
3. Eligibility
At this stage of platform deployment, Cepha services are available primarily to registered institutions. Eligible institutions may include:
- Hospitals
- Laboratories
- Pharmacies
- Clinics
- Non-Governmental Organizations (NGOs)
- Research Institutions
- Universities
- Primary & Secondary schools with Laboratories
- Corporate Health Units
- Other approved organizations
Users must have authority to act on behalf of the institution they represent. Individual consumer accounts are not currently supported through the platform.
4. Visitor Access
Visitors may access selected information available on the platform. Visitors may browse publicly available content, view selected product information, and learn about Cepha services. Visitors may not access institutional pricing, place orders, request procurement services, or access restricted product categories. Cepha reserves the right to modify visitor access at any time.
5. Institutional Registration
Institutions seeking access to procurement services must complete registration and verification processes. Cepha may request organization details, regulatory licenses, registration certificates, contact information, and additional verification documents. Cepha reserves the right to approve, reject, suspend or revoke institutional accounts at its discretion.
6. Platform Use
Registered institutions may use the platform to browse products, request quotations, receive quotations, receive invoices, make payments, track procurement activities, and manage procurement records. Users agree to provide accurate and current information at all times. Institutions remain responsible for activities conducted through their accounts.
7. Product Information
Cepha works with verified suppliers to maintain accurate product information. However, product descriptions, specifications, certifications, availability and pricing may change without notice. Cepha does not guarantee that all products displayed on the platform will always be available. Product availability remains subject to supplier confirmation.
8. Quotations
Institutions may submit requests for quotations through the platform. All quotations are subject to supplier confirmation, may contain validity periods, and may be withdrawn or updated before acceptance. Submission of a quotation request does not constitute a purchase agreement.
9. Invoices and Payments
Invoices may be generated following quotation approval or procurement requests. Cepha may support payment methods including Airtel Money, TNM Mpamba, Debit and Credit Cards, Bank Transfers, and other approved payment methods. Institutions remain responsible for ensuring timely and accurate payment. Orders may not proceed until payment verification is completed.
10. Bank Transfer Verification
Where payment is made through bank transfer, institutions may be required to upload proof of payment; Cepha may conduct payment verification before activating orders; processing times may vary depending on verification requirements. Cepha reserves the right to request additional payment information where necessary.
11. Supplier Coordination
Cepha coordinates procurement through a network of verified suppliers. Supplier selection may be based on product availability, pricing, fulfillment capability, delivery requirements, and geographic considerations. Supplier information may not always be disclosed to buyers. Cepha reserves the right to determine fulfillment arrangements that best support procurement requirements.
12. Intellectual Property
All platform content including logos, branding, software, text, graphics, and designs remain the property of Cepha Biomedical Solutions Ltd unless otherwise stated. Users may not copy, reproduce, modify or distribute platform content without written permission.
13. Prohibited Activities
Users may not submit false information, impersonate another organization, interfere with platform operations, attempt unauthorized access, misuse procurement services, or engage in fraudulent transactions. Violation of these Terms may result in suspension or termination of access.
14. Limitation of Liability
Cepha makes reasonable efforts to provide accurate information and reliable platform services. However, Cepha shall not be liable for supplier stock shortages, supplier pricing changes, delivery delays beyond reasonable control, interruptions caused by third-party service providers, or indirect or consequential losses arising from platform use. Nothing in these Terms excludes liability where exclusion is prohibited by law.
15. Suspension and Termination
Cepha may suspend or terminate platform access where false information is provided, regulatory requirements are breached, fraudulent activity is suspected, or these Terms are violated. Termination does not affect obligations arising before termination.
16. Changes to the Terms
Cepha may update these Terms from time to time. Updated versions will become effective upon publication on the platform. Continued use of the platform constitutes acceptance of revised Terms.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Malawi. Any disputes arising from the use of the platform shall be subject to the jurisdiction of competent courts within Malawi.
